CEO gave me an offer for a CTO role. Private startup, no VC, profitable. I asked for financial details and cap table, and was told it’s confidential information and it won’t be disclosed. Offer only includes vague terms about equity saying that they will be done at a later date and at the discretion of the board of directors. What do you think of this scenario?

I wouldn’t say I’m experienced with this scenario but I see red flags everywhere.
They could disclose that financial information with an NDA at minimal risk to themselves. They could even choose to leave out sensitive details.
They are being cagey about equity because they want to stiff you on it, or at least, that’s what you have to assume.
If there’s no VC involved I think you want to know the owners’ goals and you want to evaluate whether this company is going to scale or whether it’s functioning more like a small business.
